Stax Labs LLC — Terms of Service (EDUCATIONAL-ONLY)

1) Acceptance of These Terms

By creating an account, accessing, or using the Stax website, mobile app, APIs, or related services (collectively, the "Service"), you agree to these Terms of Service ("Terms"). If you use the Service on behalf of an organization (e.g., a school), you represent that you are authorized to bind that organization and that "you" includes that organization.

• Age. You must be at least 13 to use the Service. Paid features, in-app purchases, and any feature that simulates or prepares for real-money trading are for 18+ users only. If you are 13–17, you may only use the Service with parent/guardian consent. We may require proof of age or consent.
• Jurisdiction & Restrictions. You may not use the Service where prohibited by law, or if you are subject to U.S. or other applicable sanctions/export restrictions.

2) What Stax Is (and Is Not)

Stax provides educational content, learning experiences, and paper-trading simulationsusing virtual currency ("Finbucks"). It may show market-like data, analytics (e.g., Core‑4 scores, "Stacks"), and AI-generated coachingto illustrate financial concepts.

• NO INVESTMENT ADVICE. ALL CONTENT IS GENERAL, EDUCATIONAL INFORMATION. It is not a recommendation, solicitation, offer, or advice to buy/sell any security or strategy.No fiduciary relationship is created.
• SIMULATION ONLY. "Trades" inside Stax are simulated and for learning only.No real-money transactions are conducted on or through the Service.
• DATA & OUTPUTS MAY BE WRONG. Prices, fundamentals, analytics, and AI outputs may be delayed, incomplete, or inaccurate and may change without notice. Do not rely on them for investment decisions.
• REGULATED FEATURES. If we later offer regulated products (e.g., real-money trading via licensed partners), we will present separate terms and obtain required consents/registrations.

3) Virtual Currency (Finbucks) & Digital Items

• License, Not Ownership. Finbucks and digital items (badges, tickets, boosters, cosmetics, etc.) are licensed, not sold; have no monetary value; are non-transferable; and cannot be redeemed for money or anything of monetary value.
• Earn/Buy/Manage. You may earn Finbucks by completing educational activities or, where available, purchase bundles. We may modify, throttle, reprice, expire, or discontinue Finbucks/items or their earn/spend rates at any time. Taxes/fees may apply.
• Anti‑Abuse. We may reduce, revoke, or claw back Finbucks/items obtained via fraud, abuse, exploits, or Terms violations.
• No Property Interest. You acknowledge no proprietary interest in Finbucks/items or accounts. Upon termination, access may cease without compensation.

4) Subscriptions, Trials, and Payments

• Auto‑Renewal. Paid subscriptions auto‑renew until canceled. You authorize charges to your payment method or app‑store account at the then‑current rate plus applicable taxes.
• Cancel. Cancel at least 24 hours before renewal through in‑app settings or your app store. Access continues until the end of the paid period.
• Refunds. Fees are non‑refundable except where required by law or by the applicable app‑store policy. App‑store terms govern billing and refunds for store‑processed payments.
• Changes. We may change prices/features. Material changes will be communicated with an opportunity to cancel before they take effect.
• Trials/Promos. Trials convert to paid unless canceled on time. We may limit eligibility and revoke benefits for abuse.

5) Accounts, Security, and Electronic Communications

Keep credentials confidential; maintain accurate account information; and promptly notify [email protected]of unauthorized use. You consent to receive electronic communications (email, in‑app messages) related to the Service.

6) Acceptable Use & Community Standards

You agree not to:

• Violate laws or third‑party rights (including securities, privacy, IP, or consumer protection laws).
• Exploit Finbucks, leaderboards, referrals, or tournaments; attempt to gamesystems or circumvent controls, geofences, or feature gates.
• Upload unlawful, harassing, defamatory, hateful, obscene, infringing, fraudulent, or privacy‑invasive content; or impersonate others.
• Reverse engineer, decompile, disassemble, scrape, crawl, or harvest data except as allowed by robots.txt or our written consent.
• Use bots/automation or unauthorized APIs; interfere with security or overload infrastructure; introduce malware.

We may moderate, remove content, limit features, or suspend/terminate accounts for violations.

7) User Content & Feedback

• License. By submitting content, you grant Stax a worldwide, non‑exclusive, sublicensable, transferable, royalty‑free license to host, use, reproduce, modify, adapt, publish, translate, create derivative works, distribute, publicly perform/display your content in connection with operating, improving, and promoting the Service.
• Your Responsibility. You represent you have all necessary rights and your content does not violate laws or third‑party rights.
• Feedback. You grant Stax the right to use feedback/suggestions without compensation.

8) Market Data, Third‑Party Services, and Beta Features

• Data. Market/news/fundamental data and analytics may come from third‑party providers andmay be delayed or inaccurate. Stax does not guarantee accuracy, completeness, or timeliness and has no obligation to update any data.
• Third‑Party Services. Links/integrations (payments, analytics, education partners, app stores) are subject to their own terms and privacy policies; Stax is not responsible for them.
• Beta/Experimental. Features labeled "beta," "labs," or similar are provided as‑isand may break, change, or be discontinued at any time.

9) Educational Disclaimers (Bold, Redundant, and Clear)

• EDUCATIONAL PURPOSES ONLY. All content, including Core‑4 scores,Stacks, visuals, messages, and AI outputs, is general educational information and not tailored advice.
• NO RECOMMENDATIONS. We do not recommend or advise the purchase or sale of any security or strategy.
• NO FIDUCIARY DUTY. Stax owes no fiduciary duty to you. You are solely responsible for your decisions.
• CONSULT PROFESSIONALS. Before making financial decisions, consult a licensed professional.

10) Intellectual Property; Limited License

The Service (software, text, graphics, logos, "My Stax," "Core‑4," "Stacks," and other marks) is owned by Stax or its licensors and protected by IP laws. Subject to these Terms, Stax grants you a limited, revocable, non‑exclusive, non‑transferable license to use the Service for personal, educational, non‑commercial purposes. All other rights are reserved.

11) DMCA / Copyright Policy

If you believe content infringes your copyrights, send a notice to [email protected] with: (a) your contact info; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material; (d) a statement of good‑faith belief; (e) a statement under penalty of perjury; and (f) your signature. We may remove content and terminate repeat infringers.

12) Privacy; Recordings; Telemetry

Your use is subject to our Privacy Policy. You consent to our processing of telemetry (e.g., device info, interactions, usage analytics) to operate and improve the Service. Certain features (e.g., coaching) may involve storing prompts/responses to improve functionality. Do not submit sensitive personal data you do not want processed.

13) Changes to the Service and to These Terms

We may modify or discontinue any part of the Service at any time. We may update these Terms. For material changes, we will provide notice (e.g., in‑app or email). Your continued use after the effective date constitutes acceptance. If you disagree, stop using the Service and cancel subscriptions.

14) Termination

You may stop using the Service at any time. We may suspend or terminate your access (and delete Finbucks/items) for any reason, including violations, unlawful activity, risk to the Service or users, or prolonged inactivity. Sections intended to survive termination (including licenses, disclaimers, limitations, arbitration, indemnities)survive termination.

15) Disclaimers

THE SERVICE (INCLUDING ALL CONTENT, DATA, SCORES, SIMULATIONS, AI OUTPUTS, AND BETA FEATURES) IS PROVIDED"AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAX AND ITS AFFILIATES, LICENSORS, AND PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY—INCLUDINGMERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR‑FREE, SECURE, OR UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED.

16) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES; ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

AGGREGATE CAP. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO STAX FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; SOME LIMITS MAY NOT APPLY.

17) Indemnification

You agree to indemnify, defend, and hold harmless Stax and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use/misuse of the Service; (b) your content; (c) your violation of these Terms or applicable law; or (d) your infringement or misappropriation of third‑party rights.

18) Dispute Resolution; Arbitration; Class Waiver (U.S. Residents)

• Informal Resolution. Email [email protected] with "Dispute" in the subject and a description. If unresolved after 30 days, either party may commence arbitration.
• Binding Arbitration. You and Stax agree that any dispute relating to these Terms or the Service will be resolved by binding arbitration administered by theAmerican Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Sheridan, Wyoming (or by video/phone as permitted). The arbitrator may award individual relief only.
• Class‑Action Waiver. You and Stax waive any right to participate in a class, consolidated, or representative action or proceeding. No class arbitration.
• Small‑Claims Carve‑Out. Either party may bring an individual claim in small‑claims court.
• 30‑Day Opt‑Out. You may opt out of arbitration/class waiver within 30 daysof first accepting these Terms by emailing [email protected] with your name, account email, and a clear statement of your opt‑out.
• Governing Law. These Terms are governed by the laws of Wyoming(without regard to conflicts rules), except that the FAA governs arbitration.

19) App‑Store & Device Terms

If you obtained the app through an app store (e.g., Apple App Store, Google Play), those store terms also apply. The store is not responsible for maintenance or support. To the extent any store terms conflict with these Terms, the store terms control for the app obtained via that store.

20) Export Controls; Government Rights; Open‑Source

You will not use or access the Service in violation of U.S. export control or sanctions laws. Government users obtain only those rights set forth in these Terms. The Service may include open‑source components subject to their licenses.

21) Force Majeure

Stax will not be liable for delays or failures due to events beyond its reasonable control (e.g., acts of God, labor disputes, outages, cyberattacks, war, pandemics, governmental actions).

22) Miscellaneous

• Entire Agreement. These Terms and referenced policies are the entire agreement regarding the Service.
• Severability. If any provision is unenforceable, the remainder remains in effect.
• Assignment. You may not assign these Terms without our consent; we may assign to an affiliate or successor.
• No Waiver. Failure to enforce any provision is not a waiver.
• Interpretation. Headings are for convenience only; "including" means "including without limitation."
• Notices. We may provide notices by email, in‑app messages, or posting in the Service.
